Agreement to Terms
Welcome to Graidyn. These Terms of Service ("Terms") govern your access to and use of our website, services, and products. By accessing or using our services, you agree to be bound by these Terms. If you disagree with any part of these terms, you may not access our services.
1. Definitions
- "Company," "we," "us," or "our" refers to Graidyn
- "Service" refers to the website, software solutions, and all related services provided by Graidyn
- "User," "you," or "your" refers to the individual or entity using our Service
- "Content" refers to text, images, code, data, or other materials available through the Service
- "Client" refers to any individual or entity that contracts with us for software development services
2. Use of Services
Eligibility
You must be at least 18 years old to use our services. By using our services, you represent and warrant that you meet this requirement and have the authority to enter into these Terms.
Account Registration
Some services may require you to create an account. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Providing accurate and current information
- Notifying us immediately of any unauthorized access
Acceptable Use
You agree to use our services only for lawful purposes and in accordance with these Terms. You agree not to:

- Infringe upon the rights of others

Project Terms
Specific project terms, deliverables, timelines, and pricing will be outlined in separate project agreements or statements of work (SOW). These documents supplement these Terms and take precedence in case of conflicts regarding specific projects.
4. Intellectual Property Rights
Our Content
The Service and its original content, features, and functionality are owned by Graidyn and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
Client Projects
Upon full payment and completion of a project, intellectual property rights to the custom-developed software will be transferred to the client as specified in the project agreement. This typically includes:
- Source code developed specifically for the project
- Custom designs and user interfaces
- Project-specific documentation
Retained Rights
Graidyn retains rights to:
- Proprietary frameworks, libraries, and tools used in development
- General knowledge, skills, and methodologies
- Reusable code components not specific to your project
- Use the project as a portfolio piece (with client approval)
5. Payment Terms
Pricing
Pricing for our services will be specified in project proposals or agreements. All prices are in the currency specified in the agreement unless otherwise stated.
Payment Schedule
Payment terms will be outlined in the project agreement and typically include:
- Initial deposit or advance payment
- Milestone-based payments
- Final payment upon project completion
Late Payments
Late payments may result in suspension of services and may incur interest charges as specified in the project agreement or as permitted by law.
Refunds
Refund policies will be outlined in specific project agreements. Generally, deposits and payments for completed work are non-refundable.
6. Warranties and Disclaimers
Service Warranty
We warrant that services will be performed in a professional and workmanlike manner consistent with industry standards. Specific warranties for custom software projects will be detailed in project agreements.
Disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRAIDYN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
Our total liability for any claims arising from these Terms or the Services shall not exceed the amount paid by you to us in the twelve (12) months preceding the claim.
8. Indemnification
You agree to indemnify, defend, and hold harmless Graidyn, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from:
- Your use of the Services
- Your violation of these Terms
- Your violation of any rights of another party
- Content you provide or actions you take using the Services
9. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the business relationship. This obligation continues even after termination of services.
Confidential information includes but is not limited to:
- Business strategies and plans
- Technical information and source code
- Customer data and lists
- Financial information
- Trade secrets
10. Project Changes and Modifications
Changes to project scope, timeline, or deliverables must be agreed upon in writing by both parties. Significant changes may result in adjustments to project timeline and cost.
Change Request Process
- Client submits written change request
- We evaluate impact on timeline and cost
- Provide revised proposal
- Client approves changes in writing
- Updated agreement is executed
11. Termination
By You
You may terminate your account or stop using our services at any time. Termination of ongoing projects must be in writing and may be subject to fees for work completed.
By Us
We may terminate or suspend your access to our services immediately, without prior notice, for:
- Breach of these Terms
- Non-payment
- Fraudulent or illegal activities
- Request by law enforcement
Effect of Termination
Upon termination, your right to use the Services will immediately cease. You remain liable for all charges incurred up to the date of termination.
12. Dispute Resolution
Negotiation
In the event of any dispute, both parties agree to first attempt to resolve the matter through good-faith negotiations.
Mediation
If negotiation fails, parties agree to attempt mediation before pursuing litigation.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of Sri Lanka, without regard to its conflict of law provisions.
13. Modifications to Terms
We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the new Terms on this page and updating the "Last Updated" date.
Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
14. General Provisions
Entire Agreement
These Terms, together with any project agreements and SOWs, constitute the entire agreement between you and Graidyn regarding the Services.
Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
Waiver
No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.
Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
